Investor Club

WDC members are considering the formation of one or more investor clubs to advance WDC's mission to champion and catalyze women-led developments by educating women about how to invest in real estate and helping to support women developers as they raise capital for their developments.

We’ve seen first-hand how the lack of capital dramatically impacts women’s success, particularly when it comes to real estate development and investment. Women garner less than 3% of the private equity capital in the industry, and the number of women who invest in real estate is low.  WDC members are well-positioned to invest in women-led projects as individuals through an investor collaborative or through an accredited investor vehicle, or both.

As initially conceived, the goal of a WDC Investor Collaborative and/or Investment Club is to educate women about investment opportunities and help attract investment into women-led real estate projects to help offset the imbalance of capital opportunities for female sponsors.  We’re considering two potential Investor Club structures, and neither are mutually exclusive:

  • Investor Collaborative (mix of investors) Informal educational club focused on crowd funding opportunities and individual investments by participants.
  • Investment Club of Accredited Investors– A more formal organizational structure that enables a group of accredited investors to evaluate opportunities and invest either as individual investors or as a group of investors.

Creating compliant club structure(s) that meet Federal SEC regulations will be the first task that WDC members undertake. (The mission of the Federal Securities and Exchange Commission (SEC)  is to protect investors, maintain fair, orderly and efficient markets, and facilitate capital formation.)

Based on our initial research, developers will be invited to present their projects in either club structure, but the investment opportunity (i.e. the terms of the deal) are not permitted to be presented to non-accredited investors or during a program of the Investor Collaborative. After a developer presentation is finished and the developer has left the program, members of the Investor Collaborative may discuss the opportunity amongst themselves.

The goal of the Investment Club will be to create a structure whereby developers will be permitted to present and discuss a potential investment opportunity with accredited investors who may invest individually or potentially invest as a group.

Members Open to all WDC members, (accredited investors, non-accredited investors, and anyone interested in learning more about real estate investment). Open to WDC members who are accredited investors only and qualified third-parties (such as Impact Investors, GP funds, etc.) seeking to invest in women-led real estate development projects.
Structure Informal educational club focused on educating women about how to invest in real estate and how to evaluate investment opportunities available to non-accredited investors. Formal club structure governed by SEC regulations for investment clubs, with anticipated return on investment to be evaluated on a per project basis. May be a subgroup of accredited investors from the Investor Collaborative, or a separate group (potentially formed as an LLC).
Investments Individual members each determine their own level of investment, if any, per project.

Group or pooled investments will not be available.

Individual or pooled (group) investments will be considered and determined by club members.
Member Size Unlimited (minimum of 10).  No requirement to maintain ongoing membership; no requirement to participate in any specific events  or decisions. Minimum of 10 members, with up to 25 members preferred.  All members must actively participate to make an impact.

Summary of Restrictions Programs will be educational in nature, and Developers will not be permitted to solicit investments. Developers may present other aspects of their development projects except for the investment “terms” per SEC regulations. Members can review and discuss potential investment opportunities, risks and returns for a specific development project in accordance with SEC regulations.
